How Engagements Proceed

An Eight-Step Framework, Applied Without Shortcuts

Every engagement - regardless of size - moves through the same defined sequence. The sequence exists to protect the parties, the funds and the integrity of the record.

Transaction Submission

Parties provide basic transaction details through our intake form or by direct contact. Submission begins a review process; it does not create an engagement or an attorney-client relationship.

2.

Preliminary Legal & Conflict Review

The firm determines whether the engagement can be accepted, including a conflicts check and a preliminary assessment of the transaction's structure, parties and jurisdiction.

3.

KYC / KYB / Compliance Review

Identity and corporate documents are reviewed as appropriate - beneficial ownership, sanctions screening, and source-of-funds inquiries where the transaction profile warrants.

4.

Transaction Documentation Review

Review of the SPA or purchase agreement, commercial invoice, letter of intent, escrow instructions, corporate authority documents and related materials for coherence and completeness.

5.

Escrow Agreement Preparation

The written escrow agreement is prepared or reviewed, defining the responsibilities of each party, the deposited funds, the release conditions and the duties of the escrow holder.

6.

Account & Funding Instructions

Funding instructions are communicated securely - only after formal engagement and completion of applicable compliance procedures. Instructions are never changed by unverified email.

7.

Verification of Contractual Milestones

Required documents and transaction events are reviewed against the escrow agreement. Satisfaction of conditions is determined by reference to the written record.

8.

Release, Return or Closing

Funds are disbursed strictly according to the written instructions, applicable law and the governing escrow agreement - to release, return or closing as the documents provide.

A Standing Warning on Wire Instructions

Escrow instructions should never be changed solely through an unverified email request. Clients should independently confirm any change to payment instructions using previously verified contact information. If you receive a communication purporting to change account details, treat it as suspect until independently confirmed by telephone at a number you already know.

Timing

How Long Does the Process Take?

Timing depends on the responsiveness of the parties, the completeness of documentation and the complexity of compliance review. Straightforward engagements may be established within days; complex multi-jurisdiction transactions require longer. We provide a realistic assessment at the outset - and we do not compress compliance steps to meet a counterparty's artificial deadline.
